Terms of Service

These Terms of Service ("Terms") govern your use of the COUNCILin platform operated by COUNCILIN PTE. LTD. ("COUNCILin", "we", "us", "our"). By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service. For information on how we handle your personal data, see our Privacy Policy.

01 Who We Are

COUNCILIN PTE. LTD. is a company incorporated in Singapore. We operate COUNCILin, a multi-model AI deliberation platform at councilin.ai.

02 Eligibility

You must be at least 18 years old to use COUNCILin. By using the service, you represent that you meet this requirement and that you have the legal authority to enter into these Terms.

If you are using the service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

03 Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@councilin.ai if you become aware of any unauthorised use.

You may not share your account with others, create multiple accounts to circumvent credit limits, or use automated means to access the service without our written permission.

04 Credits and Subscriptions

How credits work

COUNCILin operates on a credit system. Credits are consumed when you use features on the platform. Your credit balance and usage history are visible in the app.

Subscriptions

Paid subscriptions provide a monthly credit allocation. Subscriptions are billed in advance on a monthly cycle. You may cancel at any time; to avoid being charged for the next billing cycle, cancel at least 24 hours before your renewal date. Cancellation takes effect at the end of the current billing period and no partial-month refunds are issued.

Credit purchases

Credit top-ups are charged immediately at the time of purchase. Credits do not expire while your account remains active.

Non-refundable credits

Credits consumed by completed actions are non-refundable. If a technical failure on our side causes credits to be consumed without delivering a result, credits are automatically restored. To report a credit dispute, contact hello@councilin.ai.

Price changes

We reserve the right to change subscription prices or credit costs. Where we make material changes, we will notify you by email at least 14 days in advance. Continued use of the service after the effective date constitutes acceptance of the new pricing.

05 Acceptable Use

You may use COUNCILin for any lawful purpose. You may not:

We reserve the right to investigate suspected violations and to suspend or terminate accounts accordingly.

06 Your Content

You retain ownership of any queries, documents, and other content you submit to COUNCILin ("Your Content"). By submitting content, you grant us a limited, non-exclusive licence to process it for the sole purpose of providing the service to you.

We do not use Your Content to train AI models. Your content is not shared with other users.

You are responsible for ensuring you have the right to submit any content you upload. Do not submit content that is confidential to a third party unless you are authorised to do so.

07 AI Output Disclaimer

Important COUNCILin synthesises responses from multiple AI models. These outputs are for informational and decision-support purposes only. They do not constitute legal, financial, medical, regulatory, or professional advice of any kind.

AI model outputs may contain material inaccuracies even where they appear accurate due to their level of detail or confident presentation. You should not rely on COUNCILin outputs without independently verifying any material findings, particularly before taking legal, financial, medical, or commercial action. You are solely responsible for any decisions you make based on the service's output.

COUNCILin does not warrant that AI outputs are accurate, complete, up to date, or suitable for any particular purpose.

08 Intellectual Property

The COUNCILin platform, including its design, software, trademarks, and brand identity, is owned by COUNCILIN PTE. LTD. and protected by applicable intellectual property laws. You may not copy, distribute, or create derivative works from our platform without our written permission.

The wordmark "COUNCILin" is a registered trade mark of COUNCILIN PTE. LTD. in Singapore.

09 Third-Party Services

COUNCILin routes your queries to third-party AI model providers (Anthropic, OpenAI, Google, DeepSeek, xAI, Perplexity) and uses third-party services for authentication (Clerk), payments (Stripe), and infrastructure (Supabase, Railway). Use of these services is subject to their respective terms and policies.

We are not responsible for the availability, accuracy, or outputs of third-party AI models.

10 Limitation of Liability

To the fullest extent permitted by applicable law:

Nothing in these Terms limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law in Singapore.

11 Indemnity

You agree to indemnify and hold COUNCILIN PTE. LTD., its directors, employees, and agents harmless from any claims, losses, or damages (including reasonable legal fees) arising from your use of the service, Your Content, or your breach of these Terms.

12 Termination

You may close your account at any time. We may suspend or terminate your account if you breach these Terms, if we are required to do so by law, or if we discontinue the service. On termination, your right to use the service ceases immediately.

Where we terminate your account for reasons other than your breach, we will refund any unused credits in your balance at the time of termination.

13 Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms.

14 Governing Law and Disputes

These Terms are governed by the laws of Singapore. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

15 General

Force majeure

We are not liable for any failure or delay in performance caused by events outside our reasonable control, including outages or degraded service from third-party AI model providers, acts of God, government action, or internet infrastructure failures. Where a force majeure event affects the service, we will communicate updates through our website.

Severability

If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and COUNCILIN PTE. LTD. with respect to your use of the service and supersede any prior agreements or understandings on the same subject matter.

Notices

Any formal legal notice to us must be sent by email to hello@councilin.ai and is effective on confirmed receipt. We will send notices to you at the email address associated with your account.
